1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and WISEMAN.AI INFORMATION TECHNOLOGY SERVICES ("Company", "we", "us", or "our"), concerning your access to and use of the wiseman.ai website and platform (the "Service").

Our business address is: Blk 50, Lot 6, Batangas St. South City Homes, City of Biñan, Laguna, Philippines.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

2. Service Description

Wiseman.ai is an AI-powered SaaS platform that generates complete applications from Product Requirements Documents (PRDs) using AI agents, with deployment capabilities to AWS and GCP cloud platforms.

We offer three subscription tiers:

To access certain features of the Service, you must register for an account. When you register for an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use Policy

4.1 Prohibited Uses

You may not use the Service to:

• Create applications related to gambling, child pornography, or illegal drugs
• Engage in any criminal activities
• Generate content that violates any applicable laws or regulations
• Attempt to compromise the security or integrity of the Service
• Use the Service in any way that could damage, disable, overburden, or impair the Service

4.2 Enforcement

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

5. Intellectual Property Rights

5.1 Your Content

You retain full ownership of all applications and code generated using the Service ("Generated Content"). You may use, modify, distribute, and commercialize your Generated Content without restriction.

5.2 Limited License to Company

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use your Generated Content for showcasing in our portfolio
• Include screenshots or descriptions of your Generated Content in our marketing materials
• Reference your use of the Service in case studies (we will seek your permission before identifying you or your company by name)
• Analyze patterns in Generated Content solely for the purpose of improving our Service

5.3 Our Intellectual Property

The Service, including its original content, features, and functionality, is and will remain the exclusive property of WISEMAN.AI INFORMATION TECHNOLOGY SERVICES. The Service is protected by copyright, trademark, and other intellectual property laws.

6. Payment Terms

6.1 Fees

You agree to pay all fees associated with your selected subscription tier. All fees are in US Dollars and are non-refundable except as expressly provided in these Terms.

6.2 Token Usage and Failed Generations

You will be charged for all token usage, including for failed app generations, if tokens have already been consumed in the generation process.

6.3 Refunds

We do not provide refunds for any reason, including but not limited to:

• Unused tokens
• Failed app generations where tokens were consumed
• Service interruptions
• Dissatisfaction with generated applications

7. Service Availability

7.1 No Service Level Agreement

As a startup, we do not guarantee any specific uptime or service level agreement (SLA). The Service is provided on an "as is" and "as available" basis.

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time without notice.

8. Termination

8.1 Account Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be immediately revoked
• Deployed applications will remain accessible for one (1) year after account termination
• You will continue to own all Generated Content

8.2 Effect of Termination

Termination of your account does not relieve you of any obligations to pay any outstanding fees.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WISEMAN.AI INFORMATION TECHNOLOGY SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
• ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICE
• ANY DAMAGES RELATED TO GENERATED CONTENT OR DEPLOYED APPLICATIONS
• ANY THIRD-PARTY CLAIMS

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Indemnification

You agree to defend, indemnify, and hold harmless WISEMAN.AI INFORMATION TECHNOLOGY SERVICES from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

10. Data Privacy

10.1 Data Collection

We collect and store your email address for account management purposes.

10.2 Data Usage

We do not use your PRDs or generated code to train or improve AI models. All AI processing relies on third-party language models.

10.3 Data Retention

We retain your data for five (5) years, after which it will be archived.

11. Support

We provide feature-level support and debugging assistance through Discord. Support availability and response times vary based on your subscription tier.

12. Dispute Resolution

12.1 Mediation and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration.

12.2 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal action or proceeding shall be brought exclusively in the courts of Biñan, Laguna, Philippines.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and WISEMAN.AI INFORMATION TECHNOLOGY SERVICES regarding the Service.

13.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

13.3 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
